<p>&#8220;Her role is not fund-raising, (although she will refer all potential donors to our campaign for the Domain!), but promotion and publicity about the Domain as it approaches its centennial.&#8221;</p>
<p>&#8220;As an independent contractor, Jane will increase visibility of the Domain in the diocese, ecumenical and non-profit communities, assuring that the Domain is utilized as fully as it deserves to be. She will work closely with Canon Andy Sigmon, Director of the Cathedral Domain Camp and Conference Center, and the Camp and Conference Board.&#8221;</p>
<p>&#8220;I look forward to working with Jane as she spreads the message of the great work happening on this holy mountain for people of all ages throughout the region,&#8221; says Sigmon. &#8220;This is a position that the Board had identified a need for and I&#8217;m thrilled to see it finally happening, and to welcome Jane.&#8221;<br />

Her life journey has taken her from her native Paris, Kentucky to Lexington, Boston, New York, Los Angeles, Cleveland, Houston, Atlanta, back to Texas and now &#8220;home&#8221; to Versailles, where she is a new member of St. John’s and working with the pastoral care team &#8212; and a &#8220;purpose I believe God was moving me toward,&#8221; she said as she headed toward Lee County and an eagerly anticipated meeting with Canon Andy Sigmon on her first day on the job. A lifelong Episcopalian, and native of the Diocese of Lexington, Hansen has fond memories of childhood camping experiences at the Domain, and &#8220;can’t want to see all that has happened at the Domain during the years I have been gone from Kentucky-and to meet Andy Sigmon. I see the work I have been called to as something that will hopefully be a support and compliment to all that he does, and has done.&#8221;</p>
<p>She was the founding partner/owner of Varden’s Boutique and Art Gallery and Tiffany&#8217;s Tea Room in Paris, Kentucky, which was well-known for its planned events, book signings, and catering; a residential real estate agent for Madeline O’Brien Reality in Houston, Texas, and Jenny Pruitt and Associates in Atlanta, Georgia, a Million Dollar Club member and realtor of the year. Among her formative business experiences she counts being a part of both successful and difficult operations of retail businesses and a museum shop and the museum board of directors. An active community volunteer wherever she has lived, she has organized and led volunteers for such entities as the Olympic Games in Atlanta, the Festival of Trees in Atlanta, National Clay Court Tennis Tournament in Houston and the Historic McCLendon House in Tyler, Texas, and co-founded the Stoner Creek Arts Guild in Paris, Kentucky. A former Pan American Airlines International Flight attendant and purser, she served as President of World Wings International. Her life in seven dioceses of the Episcopal Church has found her serving as a youth director, Sunday School teacher, Stephen minister, EfM graduate, and member of the altar guild.</p>
<p>&#8220;I have spent innumerable weeks and weekends at camps across California, Texas, Georgia, North Carolina and Kentucky as camper, counselor, parent, for adult education, spiritual retreats, board retreats and personal get-away times. I cannot think of any time at any of these camps when I was not reminded once again of the importance of the camping experience. From the outdoor activities I learned or renewed, to the wonderful and varied people I was introduced to and expected to live with, camping has been and continues to be formative in my life. I have slept in a cottage with as many as 12 women, one bunk apart &#8212; not knowing one soul when I arrived, and leaving with 12 new sisters of the heart.</p>

I have seen camps for the elite, and camps that work only with children who have nothing. I have had the pleasure of working with people who dedicate themselves to the ministry of camping, and by giving their time, energy and creativity, give so much of the world to those who attend camps. I have always remembered that my father, who spent many years as a waterfront director at Camp Petosgah in Michigan said that the best way to know anyone is to go on a two week camping trip with them. I believe it is true &#8212; and there is no better way than camping to start developing into the person God intends each of us to be. I believe that God has led me to this work with and for the Cathedral Domain, and I could not be more excited and more eager to visit our congregations, vestries, youth groups, individuals and families, as well as to make new contacts for this wonderful camp and conference center ministry.&#8221;</p>
<p>Jane is mother of Blanton Hansen, League City, Texas and Sarah Hansen Smith, Georgetown, Kentucky, both veteran campers and counselors, who look forward to their children Collier, 7, Blair, 6, and Brooke, 3 becoming campers in the not-too-distant future.</p>
<p>Speaking briefly with the LINK after her first visit to the mountain, Hansen expressed her appreciation for the dedicated work that has made the Domain the important ministry it is today. &#8220;I can’t wait to spend time at camps and see all of the things Andy told me about in operation; and to do all I can to make sure all it has to offer is made known in as many ways as we can do it. I love Andy’s passion for this ministry, and can’t wait to be a part of it.&#8221;</p>

<p>“Making all things new”, the theme of the 116th annual convention of the Diocese of Lexington, celebrated new beginnings: 11 new clergy in the diocese since the previous convention; St. Paul’s, Newport received with parish status; new members of diocesan bodies elected and a new resolution for structure to offer the wider church. Creative energy and passion for mission and ministry mark a Diocese brimming with hope, humor and forward thinking.<br />
<span id="more-1760"></span><br />
It all fit with Interim Assisting Bishop Chilton Knudsen’s image of the icon as a metaphor for transition&#8211; as she pointed out in her address to convention that each new layer of iconography does not displace or erase the old, rather, allows the old to shine through with a richer, deeper more luminous effect on the whole. Bishop Knudsen praised the “bold and courageous” congregations and actions of her adopted diocese, highlighting their devotion to being a bully-free diocese, where in “holy conversations” and the ongoing work of leadership  people take seriously how to “work together in the face of strong emotion”, creating a respectful climate for discourse, supporting energy and engagement with mission.</p>
<p>The February convention was designed as a model for the electing convention &#8212; which will name the 7th Bishop of Lexington in August &#8212; with business set in the context of the liturgy, and a recess rather than an adjournment until the body reconvenes for the election. The Rev. Richard Burden, Chair of the Nominating Committee, presented the goals and challenges that the committee derived from the Holy Conversation data, offering the assembly an opportunity to reflect on the materials and offer comments in order to truthfully represent the Diocese to prospective candidates. Frank Kebbell, Chair of the Transition Committee, led the convention through the time line for candidate visitation, election and consecration.</p>
<p>While budget and diocesan elections form the nucleus of annual business before the convention, the bishop’s election and structure issues in the larger church were both topics of significant interest. At the annual breakfast for the Diocese’s Small Church Ministry Consortium and Network for Pastoral Leadership and Sustaining Healthy Congregations, which are in their fifth and third years respectively, it was suggested that while there are many members for whom diocesan structure and polity are new and discussion on the importance of changing the structure of the larger church confusing, perhaps it was easiest to understand structural reform as it has been lived in the Diocese, with new eyes and new ideas turning liabilities into opportunities, now in a period of reflection for purposes of continuing evolution and forward movement.</p>
<p>The structure resolution brought forth by the Convention Resolution Committee appeared to echo both this understanding and Bishop Chilton’s raising up of the bully-free diocese of respectful discourse. While strong sentiments for several approaches to structural reform were voiced in the Friday afternoon hearings, the <a href="http://diolex.org/convention/convention2012/resolution-on-church-structure/">substitute resolution to R-1 and R-2</a> passed the Convention unanimously, with Deputy Allison Duvall, one of the proposers of R-2, taking the mike to speak in favor of the substitute as “satisfactory” to the presenters, who included the Rev. Laurie Brock, the Rev. Amy Dafler Meaux, the Rev. Elise Johnstone, the Rev. David Perkins and Duvall.</p>
<p>Continuing to “Make All Things New”, the 116th Convention:</p>
<ul>
<li>Kicked off a capital campaign for the Cathedral Domain Camp and Conference Center, announcing gifts totaling a half million dollars from 30 individuals, including members of Diocesan councils and the Diocesan staff.</li>
<li>Announced an $18,000 UTO grant to St. Phillip’s, Harrodsburg for the renovation of their kitchen, which will enable the continuation of their community meal ministry</li>
<li>Announced several new collaborative ministries between the Diocese and Christ Church Cathedral, including a Planned Giving/Legacy Society Workshop; A Lenten Quiet Day co-presented by Bishop Knudsen and the Very Rev. Carol Wade, Dean and Rector of Christ Church Cathedral; and a “New Harmony” Celtic Spirituality workshop with J. Philip Newell</li>
<li>Elected Charlotte “C.C.” Johnson, St. Raphael’s, Lexington (Lay Order); and the Very Rev. Carol Wade, Christ Church Cathedral, Lexington (clergy order), to Standing Committee</li>
<li>Elected Anne Whitfield “Whitty” Bohmer, Good Shepherd, Lexington; Jay Marshall, St. Alban’s, Morehead; Sandra Plant, Church of Our Saviour, Madison County; and Sidney Vignes, St. Andrews, Fort Thomas (Lay Order); the Rev. Amy Dafler Meaux, Trinity, Danville; and The Rev. Matthew Young, St. Paul’s, Newport (Clerical Order), to the Executive Council</li>
<li>
Unanimously passed the Mission and Ministry budgets and a resolution supporting youth representation on vestries and deputations to convention</li>
<li>Shared an evening of festivity with the Good Shepherd Annual Gala in a Mardi Gras celebration, with silent and live auction proceeds going to support of Good Shepherd Refugee Ministries, the Cathedral Domain and the renovation of the Cathedral in Haiti</li>
<li>
Supported youth scholarships, St. Agnes House and Reading Camp ministries with proceeds from silent auctions</li>
<li>Heard “Mission Moments” from these and other ministries, including the Mama Ada Foundation, Eldoret pilgrims, Episcopal Appalachian Ministries, the University of the South, and Barnes Mountain</li>

<p><em>Whereas</em>, this Church’s faithful engagement in Christ’s mission is to proclaim good news to the poor, release to the captives, recovery of sight to the blind, freedom to the oppressed and the acceptable years of the Lord in a way that maximizes the resources available for that mission at all levels of the Church, and </p>
<p><em>Whereas</em>, the administrative and governance structures of The Episcopal Church have grown over the years so that they now comprise approximately 47% of the church-wide budget resulting in a situation that hinders rather than furthers this Church’s engagement in God’s mission, </p>
<p><em>Be it resolved</em> that this 116th Convention of the Diocese of Lexington directs that the following resolution be filed with the Secretary of the General Convention for consideration by the 77th General Convention of The Episcopal Church:</p>
<p><em>Resolved</em> that a Special Commission on Mission Structure and Strategy be created, the composition of which shall include the chairs of the Standing Committee for Structure of the Church, two persons appointed by the Presiding Bishop, two persons appointed by the President of the House of Deputies, and one lay and one clergy person appointed by each province of The Episcopal Church, keeping in mind that the representation of this Special Commission express the diversity of persons that make up the Episcopal Church, and be it further</p>
<p><em>Resolved</em> that this Special Commission be formed within 60 days following the adjournment of this 77th General Convention, and be it further</p>
<p><em>Resolved</em> that the several dioceses hold conversations concerning the re-structuring of the Episcopal Church with the goal of better aligning missional organization and enhancing ministry at all levels of The Episcopal Church, and report the findings of these conversations to the Special Commission by no later than the end of calendar year 2013, and be it further</p>
<p><em>Resolved</em> that the Special Commission recommend a plan for restructuring the administration and governance of The Episcopal Church to be considered at the 78th General Convention, and be it further </p>
<p><em>Resolved</em>, that the Joint Standing Committee on Program, Budget and Finance consider adding appropriate monies to the General Convention Budget to cover the cost of this mandate.</p>

<p>While February in Kentucky cannot usually be described as a time of lightness, I come to this February with sunrises and sunflowers in heart and mind &#8212; personal symbols of the light of God as all things are made new.</p>
<p>The annual Convention of the Diocese of Lexington to be held in Lexington February 17-18 is a &#8220;family gathering&#8221; where the elected representatives of the people of this diocese will come to conduct the business of their diocese, reflect on where we are as a community of believers and prepare for all that lies ahead. <span id="more-1566"></span>The theme of the 2012 convention was set immediately following the 2011 convention, in anticipation of welcoming new members of the diocesan family who would be in place as rectors of parishes by the next convention &#8212; and in celebration of a renewed passion for mission and expressions of that passion in ministries throughout the diocese and beyond, new ways of being together and modeling a Culture of Courtesy for a world too often devoid of even civility. Only a few months later would we learn that the theme would also encompass the process of electing a new bishop &#8212; the 7th Bishop of Lexington! </p>
<p>Our &#8220;new&#8221; interim assisting bishop, the Rt. Rev. Chilton Knudsen, will offer new insights on our life together in the Bishop&#8217;s Address. As those sharing ecclesiastical authority in the interim period, she and the Standing Committee of the Diocese of Lexington have guided the planning of this convention &#8212; a &#8220;new&#8221; experience for all &#8212; with the experienced and steady guidance of the Ven. Bryant Kibler, Archdeacon for Administration of the Diocese, and Ellen Darnall, Executive Assistant to the Bishop.</p>
<p>A highlight for all will be the welcoming of clergy new to the Diocese of Lexington between Convention 2011 and Convention 2012:</p>

<p>A &#8220;new&#8221; feature will be the hosting of the Friday night Convention Banquet as the &#8220;Gala&#8221; of the Church of the Good Shepherd. Proceeds of both the silent auction and exciting &#8220;live&#8221; auction will benefit outreach ministries.</p>
<p>In addition to the important Youth Silent Auction, proceeds of which support youth ministries, and feature baskets or featured items from each parish and from individuals, two &#8220;new&#8221; auction tables will benefit St. Agnes House and Reading Camp.</p>
<p>This may be our 116th Convention, but God is &#8220;making all things new&#8221;!<br />
We have come through numerous transitions in our parishes, and we continue in transition as a diocese. Transitions remind us that to live is to change, and with change comes growth &#8212; particularly when the opportunities are embraced, engaged and celebrated. A part of the engagement is a pruning &#8212; letting go where it is necessary to allow room for the new to emerge. A part of it is recognizing the active life and work of transition, in order to keep the proper nutrients, water and sunlight in the process. <p>2. At the bottom of the event information page, click Register Now.</p>
<p>3. Login if you have used this system before and have an email/username and passwork. <strong>If you have never registered for an event this way, you will need to choose &#8220;Need a login? Click here&#8221; to create an account before logging in.</strong></p>
<p>4. Choose your registration type from the dropdown and click Next. A window will pop up warning you that refunds cannot be given after January 16. Click Continue.</p>
<p>5. If you wish to receive you registration packet in the mail rather than electronically, please change the quantity next to &#8220;Mailed Registration Packet&#8221; to the number of packets you would like to receive by mail. You will be charged $5 per packet when you check out. If you want to receive your registration packet electronically, leave this option blank. Click Next.</p>
<p>6. Fill out the registration form. Click Next.</p>
<p>7. Choose your payment amount and Click Next.</p>
<p>8. If you have a payment due, choose a payment method and click Next. If prompted, enter credit card information and Submit. Click Next.</p>
<p>9. You will be given a confirmation number and the option to print a receipt.</p>

A test message will go out one week prior to the mailing to ensure we have the e-mail address entered correctly in our database.</p>
<p>Arrangements have been made with the Hyatt Regency Hotel, Lexington, Kentucky for a block of rooms to be held at the rate of $99.00 per night. If you would like to extend your stay through Sunday they will do so at the same rate. All reservations should be made directly with the hotel by calling 1-800-233-1234. Please make sure to mention the “Episcopal Church” to receive the discounted price. The discounted rate will only be available until January 16, 2012.</p>

<p><strong>Our Mission:</strong><br />
The Cathedral Domain is a Camp and Conference Center dedicated to providing a facility and atmosphere that promotes spiritual renewal, recreation, relaxation, and education in a Christ-centered environment.</p>
<p><strong>2011 Recap:</strong><br />
Building on the amazing work that has gone on over the past several years, the Board has made great strides this year is developing governance documents to guide the Domain through the next several years and develop and evolve with a changing culture and economic climate.</p>
<p>The Board finalized and Executive Council received an Action Plan that has been in development for several years.  This plan will serve to direct the use of resources over the coming years to preserve the current outstanding facilities and programs and to develop and grow those facilities and programs over the coming years.</p>
<p>The Board also conducted a S.W.O.T. (Strengths, Weaknesses, Opportunities and Threats) analysis as a compliment to the Action Plan.  This review has enabled us to evaluate our current situation and identify areas on which we need to direct our focus in our execution of the Action Plan.  This “living document” has been incorporated on an ongoing basis into the Board’s meetings and discussions as a useful analytical tool.</p>
<p>The Domain website has received a long-needed update. It can be accessed through the Diocesan website under the “Ministries” tab, or by going directly to http://cathedraldomain.org/. This much-needed update responds to a long-standing issue of concern and will help us better meet the needs of an increasingly technological society.</p>
<p>A feasibility study was conducted to evaluate the potential for a successful Capital Campaign to establish a restricted endowment to help provide much needed funding for the Domain. This study period was also used to gather information that will enable us to improve access to and utilization of the camp’s facilities.</p>
<p>ACA re-accreditation was completed and the camp was recertified for a three year period.</p>
<p>The Diolex Link is being successfully utilized to spread the word about existing programming and work weekends.<br />
Routine and as-needed maintenance continued and with the help of volunteers improvement projects were undertaken, including the addition of a back porch and additional exit door on Deanery/Canons Cottage and a new deck added to Greenery.</p>
<p>We had a successful summer camp season despite difficult economic times resulting in slightly lower camper numbers. We hosted 354 campers for the summer camp session.</p>
<p>Overall usage was strong at 2287 total guests; including outside groups including a bereavement camp sponsored by Hospice. A sluggish economy, and decreased camper numbers caused lower-than-expected camp revenue and donations, although scholarship donations were over-budget.</p>
<p>The Board began planning the 2012 Spring Festival to be held at the Domain on April 20-22.  We look forward to bringing together the entire Diocesan family with activities and retreats for all members of the Diocese spread out over the course of the weekend, including a Diocesan-wide service in St. George’s Cathedral.</p>
<p><strong>Looking ahead:</strong><br />
The Board continues to utilize the tools put in place over the last several years to increase utilization of Domain facilities and donation to the ministry of the Diocese through the Domain. Using the 2011 Action Plan and ongoing S.W.O.T. analysis to guide our decision-making, and through the addition of some new programming, we hope to re-establish the Domain as the “Heart of the Diocese”, finish 2012 with increased utilization and revenues and prepare to celebrate the upcoming Centennial anniversary of the Domain stronger than ever. </p>

			<content:encoded><![CDATA[<p>The Chancellor is the legal adviser for the Diocese. The Canons provide for a Chancellor, a Vice Chancellor and Deputy Vice-Chancellor. The Chancellor and Vice Chancellor attend Executive Council meetings as <em>ex officio</em> members. They also serve as members of the Committee on Canons. Buck Hinkle and Jane Fitzpatrick served as Chancellor and Vice Chancellor, respectively, in 2012. The following activities are illustrative of their roles in the last twelve months.</p>
<p>• Revising Canons in accordance with amendments approved at 2011 Convention;<br />
• Advising the Bishop, the Standing Committee and Executive Council;<br />
• Advising the Bishop on potential litigation and settlement of a significant clergy<br />
misconduct claim against the Diocese (settlement funded by insurance);<br />
• Reviewing and preparing documents associated with Diocese property<br />
transactions (see below);<br />
• Communicating with other Chancellors and monitoring developments in the<br />
national Church;<br />
• Attending the 2011 Province IV Chancellors&#8217; conference;<br />
• Consulting with individual parishes on governance and personnel matters; and<br />
• Consultation with Executive Council on fundraising contract for Cathedral<br />
Domain campaign;<br />
• Drafting amendments to the Diocese Canons and meeting with the Committee on .<br />
Canons (see below);<br />
• Consultation with the Standing Committee on Bishop succession.</p>
<p><strong>Significant Property Transactions.</strong><br />
• S1. Augustine&#8217;s (Lexington) Lease to Lexington Montessori School<br />
• Sale of S1. Martha&#8217;s parish property to the Bluegrass Area Development District<br />
and short-term lease back to S1. Martha&#8217;s</p>
<p><strong>Committee on Canons.</strong> The Chancellor chairs the Committee on Canons. For the 2012 Convention the Committee is recommending a proposed amendment to Canon 2, which organizes the Executive Council and provides for Council meetings. Proposed Amendment to Canon 2.05 (copy attached) provides that representative of the Episcopal Church Women, Episcopal Church Men and the Diocesan Youth Commission may attend Executive Council meetings with voice but not vote. This provision will codify what has been the practice. It has been suggested that 2.05 be further amended to include a representative of the Camps and Conferences Board. This suggestion will be presented to the Committee at its meeting during the February 2012 Convention.</p>
<p><span style="text-align:center">CANON 2</p>
<p>OF THE EXECUTIVE COUNCIL</span></p>
<p>2.01    The Executive Council of the Convention of the Church in the Diocese of<br />
Lexington (which shall generally be called &#8220;the Executive Council&#8221;) shall be the Board of<br />
Directors of the Episcopal Church in the Diocese of Lexington, Inc., and shall be an<br />
executive body representative of the Church in this Diocese, the duty of which shall be<br />
to carry out the programs and policies adopted by the Convention with the power and<br />
authority to implement and carry out the same and to act for the Convention between<br />
meetings thereof. The Executive Council shall have overall responsibility for the<br />
Diocesan program and finances, shall provide for the efficient management of the<br />
business of the Diocese and shall be an agency to relieve the Bishop of the Diocese<br />
insofar as is practicable from the necessity of the detailed management of the business<br />
affairs of the Diocese.</p>
<p>     2.02    The Executive Council shall be composed of the Bishop and<br />
eighteen elected members. Six members, four lay communicants and two members of<br />
the Clergy canonically and actually resident in the Diocese, shall be elected by the<br />
Convention each year, by ballot, for terms of three years each, so that one-third of the<br />
elected membership shall be annually elected. Each elected member shall serve until a<br />
successor is installed.</p>
<p>     No elected member shall serve or be elected to successive terms except that a<br />
member who is completing a term created by a mid-term vacancy may be elected to a<br />
full term.</p>
<p>     A vacancy in the membership of the Executive Council shall exist in the case of<br />
death, resignation, removal from the Diocese, or incapacity of any elected member.<br />
Any such vacancy shall be filled by the Executive Council for the unexpired term<br />
thereof.</p>
<p>     2.03    The Executive Council shall meet at the call of the Bishop or of any<br />
seven of its elected members, and shall, in any event, meet at least once in each<br />
calendar quarter. Nine elected members shall constitute a quorum.</p>
<p>     2.04    The Executive Council shall have the power and authority to<br />
prescribe its own procedural rules for the performance of its duties and· for the carrying<br />
out of its functions, provided, however, the rules so adopted shall not be in conflict with<br />
any action taken by the Convention or with the Constitution or Canons of the Diocese.<br />
2.05 The Secretary of the Convention shall serve as the Secretary of the<br />
Executive Council and shall be a member <span style="text-decoration:underline">ex officio</span> thereof. The Treasurer of the<br />
Diocese, the Chancellor of the Diocese, the Vice Chancellor of the Diocese, the Canon<br />
to the Ordinary, if there be one, and the Archdeacon, if there be one, shall be members<br />
<span style="text-decoration:underline">ex officio</span> of the Executive Council. One representative of the Episcopal Church<br />
Women, Episcopal Church Men and the Diocesan Youth Commission, to be chosen by<br />
each ministry, shall be allotted seat and voice but no vote. The Executive Council shall<br />
have the power and authority to elect from its lay elected members a Vice President,<br />
who shall preside in the absence of the Bishop Diocesan and to perform such other<br />
appropriated duties as may be directed by the Bishop Diocesan, by the Executive<br />
Council, or for which provision is made in these Canons.</p>
<p>     2.06      The Executive Council shall have the following enumerated powers<br />
and responsibilities:</p>
<p>               a. The Executive Council shall have all powers of the<br />
Convention when the same is not in session except the power to elect a Bishop or to<br />
amend the Constitution or Canons.</p>
<p>               b. The Executive Council shall have the responsibility for the<br />
business affairs of the Diocese and of each department, committee, agency and entity<br />
thereof, which responsibility shall include specifically but without limitation the following:</p>
<div style="margin-left:50px; text-indent:25px;">1. Property management.</p>
<p>2. Supervision of investments and the determination of<br />
investment policies.</p>
<p>3. Preparation of Diocesan program and a budget for<br />
submission to the annual meetings of the Convention.</p>
<p>4. Authorizing the expenditure of all funds.</p>
<p>5. The management of all Diocesan bank accounts,<br />
including without limitation, selecting depositories, opening and<br />
closing accounts, and designating those authorized to sign checks<br />
for the Diocese.</p>
<p>6. The receipt of all funds of the Diocese. The Executive<br />
Council shall promulgate regulations governing the handling and<br />
depositing· of such funds and shall name the person or persons<br />
responsible therefore.</p>
<p>7. Ordering an annual audit of the affairs and accounts<br />
of the Diocese by an independent certified accountant and such<br />
special audits of any Diocesan office or entity the Executive Council<br />
may deem appropriate.</p>
<p>8. The Executive Council shall provide for reports to be<br />
made to it by officers of the Diocese, the Corporation, Capital One<br />
Commission, the Cathedral Foundation Charter, trustees of any<br />
trusts or funds of which the Diocese has a beneficial interest, and<br />
by each other department, board, committee, agency or entity of<br />
the Diocese, and shall require such reports be presented regularly,<br />
and at least annually.</p>
<p>9. The Executive Council shall submit to the annual<br />
meeting of the Convention a written, narrative report of the work<br />
done under the supervision during the preceding year. The report<br />
shall be presented with such exhibits and attachments and with<br />
such recommendations with respect to the administration of the<br />
affairs of the Diocese as the Executive Council shall determine to<br />
be appropriate.</p></div>
<p>               c. The Executive Council shall function as the nominating or<br />
electing body, as the case may be, for all positions as to which provision for nomination<br />
or election is not otherwise made in the Constitution or Canons. Any vacancy of a<br />
position nominated or elected by the Executive Council shall be filled for the unexpired<br />
term by the Executive Council.</p>
<p>     2.07      Participation In Meetings By Alternative Means<br />
The Chair of the Executive Council and. Executive Committee may permit any or all<br />
Council and Committee members to participate in a regular or special meeting by, or<br />
conduct the meeting through the use of telephonic or video communication by which all<br />
members participating meW simultaneously hear each other during the meeting. A<br />
member participating in a meeting by these means shall be deemed to be present in<br />
person at the meeting.</p>
